Terms of Service

The agreement between Norpo and the merchants who use it.

01What Norpo is

Norpo provides software: a hosted checkout, an API, plugins, a merchant dashboard and the routing layer that connects them to independent, licensed payment providers. Norpo is not a bank, an e-money institution or a card acquirer.

When a customer pays by card, Apple Pay, Google Pay, a payment app or a bank method, the payment is processed by the licensed provider the customer chooses at checkout. That provider converts it and delivers USDC on the Polygon network to the wallet address you set in your account.

02Accepting these terms

By creating an account, integrating the API or a plugin, or using any part of the service, you agree to these Terms, the Privacy Policy and the pricing in force at the time. If you use Norpo on behalf of a business, you confirm you are authorised to bind it.

03Eligibility

You must be at least 18 years old (or the age of majority where you live) and legally able to enter into these terms. You may not use Norpo if you are subject to sanctions, or on behalf of anyone who is.

04Your account

An account needs an e-mail address, a password and a payout wallet. Keep your credentials and API keys secret, and turn on two-factor authentication. You are responsible for everything done with your account and keys. Tell us immediately at support@norpo.io if you suspect unauthorised access.

Information you give us must be accurate. We may suspend an account that uses false details.

05Settlement and your wallet

  • Card, app and crypto payments settle in USDC on Polygon to the wallet in your account, usually within minutes of payment.
  • You alone control that wallet. Check the address carefully: a payment sent to the address you set cannot be recalled or redirected.
  • Blockchain transactions are final. Norpo cannot reverse, cancel or change a transfer once it is on-chain.
  • There is no chargeback mechanism. Once settled, a payment is final for you.

06Balance, payouts and refunds

Some features use a Norpo balance: certain local payment methods, mass payouts and refunds. Funds in the balance are held for you until you withdraw or use them. Withdrawals and refunds are paid in USDT on TRON, require two-factor authentication, and are subject to the fees shown in your dashboard.

Refunds to your customers are your decision and come from your balance. Norpo does not refund customers on a merchant's behalf.

Optional routes that hold funds in transit (for example, payment through a Telegram wallet) are only switched on at your request.

07Fees

Fees are listed on the pricing page and are deducted from each payment before settlement: the amount that reaches your wallet is net of them. Individually agreed rates apply only when they appear in your dashboard. Network fees and the providers' own exchange rates may also apply. We may change fees with notice; changes do not affect payments already made.

08Payment providers

Providers are independent of Norpo and act under their own licences and terms. They decide which customers they serve and may ask customers to verify their identity, refuse a payment or hold it for review. Norpo does not control these decisions and is not responsible for them.

Which methods appear depends on the customer's country, currency and amount, and on what providers offer at the time. Availability can change without notice.

09Your responsibilities as a merchant

You are solely responsible for your business, your products and services, your website or bot, and your dealings with your customers, including delivery, support, refunds, consumer protection, taxes and any licences your business needs in every country where you sell.

You must describe what you sell honestly, both on your website and in the reference you attach to each payment.

10Prohibited use

You may not use Norpo for, or to support:

  • fraud, scams, phishing or misleading customers about what they are paying for;
  • money laundering, terrorist financing or evading sanctions;
  • child sexual abuse material or any exploitation of minors;
  • illegal drugs, weapons, explosives or other goods illegal where they are sold or delivered;
  • stolen data, stolen accounts or payment cards, or malware;
  • attacking, overloading, scraping or reverse-engineering the service, or getting around its security.

We may refuse or stop routing payments, suspend or close an account, and report activity to the authorities where the law requires it. Funds already settled to your own wallet are outside our control.

11Suspension and termination

You may stop using Norpo and close your account at any time. We may suspend or close an account if these terms are breached, if required by law or by a provider, or to protect customers or the service. Where we can, we will tell you why. Any balance you hold will be paid out to you unless the law requires otherwise.

12Intellectual property

The Norpo software, website, brand and documentation belong to Norpo. We grant you a limited, non-exclusive, non-transferable right to use them to accept payments while your account is active. The plugins and code samples we publish may be used to integrate Norpo. You keep all rights to your own content, and you give us permission to use it only as needed to run the service.

13No warranties

The service is provided "as is" and "as available". We work to keep it reliable, but we do not promise it will be uninterrupted or error-free, or that any particular method will be available in any country. Nothing on our website is legal, tax or investment advice.

14Limitation of liability

To the extent the law allows, Norpo is not liable for indirect or consequential losses, lost profits or lost data, or for the acts of providers, blockchains or networks. Our total liability for any claim is limited to the Norpo fees you paid in the three months before the event that caused it. Nothing in these terms limits liability that cannot be limited by law.

15Indemnity

You will cover Norpo against claims, losses and costs arising from your breach of these terms, your products or services, or your dealings with your customers.

16Changes to these terms

We may update these terms. The date at the top shows when they last changed. For significant changes, we will notify account holders by e-mail or in the dashboard. Continuing to use Norpo after a change means you accept it.

17General

These terms, the Privacy Policy and the pricing page are the whole agreement between you and Norpo. If any part is found unenforceable, the rest stays in force. You may not transfer your account or these terms without our written consent. If a dispute arises, please contact us first; most issues are resolved quickly that way.
